These Terms of Service ("Terms") govern your access to and use of the Agentic Sellar platform at agenticsellar.com (the "Service"), operated by 11978853 CANADA INC. ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms.
If you do not agree, do not use the Service.
1. The Service
Agentic Sellar is a hosted software service that connects authorized Amazon Ads and Seller Central accounts to dashboards, a REST API, and a managed Model Context Protocol (MCP) server. Depending on your plan, the Service can return live Amazon data, retain selected non-PII history, and submit changes that you or your connected software explicitly request. Optional AI-employee features may analyze campaign data and propose actions when you configure and enable them.
We are a Solution Provider and Registered Advertising Developer with Amazon. We are not affiliated with, endorsed by, or sponsored by Amazon.
2. Eligibility
You must:
- Be at least 18 years old
- Be authorized to bind the legal entity for which you create an account (your Amazon seller business)
- Have an active Amazon Seller Central account with advertising eligibility
- Not be barred from receiving services under U.S. or other applicable law
3. Your Account
3.1 Registration
You must provide accurate, current information when you sign up and keep it updated. You are responsible for safeguarding your password, any API key you generate, and access to AI clients you connect. Notify us immediately of any unauthorized access.
3.2 Authorization
By connecting your Amazon accounts, you authorize us to:
- Access the data described in our Privacy Policy
- Call the Amazon API operations that you request through the dashboard, REST API, MCP server, or an optional enabled automation
- Retain selected non-PII history when your plan and product selections include storage
- Submit changes only when the caller has the required write scope and provides the confirmation required by the applicable tool or workflow
You may revoke an AI-client grant or disconnect an Amazon account from Settings. Revocation stops future calls using that grant or connection. Stored credentials and other data are then handled under the retention schedule in our Privacy Policy.
3.3 AI Clients and Optional Model Providers
You may connect a third-party AI client, such as an MCP-compatible assistant. The data and results you ask the Service to return to that client are then processed under that provider's terms and your configuration of that client. The Service issues its own scoped token to the client; it does not provide your Amazon credentials to the client.
If you enable a feature that asks you to provide an LLM API key, you are responsible for the provider's charges and terms. We use that key only to provide the enabled feature as described in the Privacy Policy.
4. Acceptable Use
You agree not to:
- Use the Service to violate Amazon's Acceptable Use Policy or any applicable law
- Reverse-engineer, decompile, or attempt to extract the source of our software, except where applicable law expressly permits it
- Resell, sublicense, or rent the Service without a written reseller agreement
- Use the Service to optimize Amazon accounts you do not own or are not authorized to manage
- Attempt to circumvent rate limits, billing, or permission controls
- Submit prompts or data designed to bypass access controls, extract secrets, or cause unauthorized actions
- Use the Service in any way that could damage, disable, overburden, or impair our systems
We reserve the right to suspend accounts that violate these rules.
5. Subscriptions and Billing
5.1 Plans
Current plans, pricing, work-unit limits, retained-data allowances, and included features are listed at agenticsellar.com/#join. We may change pricing or introduce different packaging with 30 days' notice before the change applies to a future billing period; periods already paid for are honored at the prior price.
5.2 Payment
Subscriptions auto-renew at the end of each billing period unless canceled. Payment is processed by Stripe; their terms apply to the payment relationship. We do not store full payment-card numbers.
5.3 Cancellation and Refunds
You may cancel anytime from Settings. Cancellation takes effect at the end of the current billing period. We do not refund partial periods unless required by law. Historical data affected by cancellation or a plan downgrade remains recoverable for 90 days. We send a notice when cancellation is scheduled and reminders 60, 30, 14, 7, and 1 day before deletion.
5.4 Free Trials
Where offered, free trials convert to paid subscriptions automatically at the end of the trial unless you cancel.
6. Our Intellectual Property
The Service, including source code, tool definitions, proprietary scoring and orchestration logic, dashboards, documentation, and brand assets, is owned by 11978853 CANADA INC. and licensed to you for use as described in these Terms. We grant you no other rights.
You may not copy, redistribute, or use our IP outside of using the Service for its intended purpose.
7. Your Content and Data
You retain all rights to your Amazon data, any optional LLM API key, and any content you provide. You grant us a limited license to process this content solely to provide, secure, maintain, and support the Service, as described in our Privacy Policy and Data Protection Policy.
We do not use your data to train any AI/ML model. We do not sell or share your data except as described in the Privacy Policy.
8. AI-Assisted Actions and API Calls
8.1 You Control Connected Access
Workspace owners choose which Amazon accounts and read or write scopes an AI-client grant may use. MCP and REST write operations require the applicable write scope and an explicit confirmation value on each call. Your AI client may have its own approval interface, but those client-side controls are separate from the Service's server-side checks.
The core MCP and REST service does not independently choose bids, budgets, or listing changes. It executes the valid calls you or your authorized client submit. Optional automation features have separate permission controls and can be paused or disabled.
8.2 Best-Effort, Not Guaranteed
AI clients and optional automation features may use statistical models, deterministic algorithms, and large language models to propose actions. No automated system is perfect:
- LLMs occasionally produce unexpected outputs
- Amazon's APIs occasionally return stale or inconsistent data
- Market conditions change in ways the software may not anticipate
- Your goals or assumptions may differ from the software's reasoning
You are responsible for reviewing requested writes and the results returned by the Service before relying on them. Call receipts and applicable action history help you audit activity, but do not replace your own review.
8.3 No Performance Guarantee
We do not guarantee any specific result. Past performance does not predict future results. ACoS, TACoS, sales, and ROI depend on many factors outside our control.
9. Service Availability
We aim for high availability but do not guarantee uninterrupted access. We may need to suspend the Service for maintenance, security incidents, or third-party outages, including Amazon, our hosting provider, a connected AI client, or an optional model provider. We are not liable for losses caused by such interruptions.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, 11978853 CANADA INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.
Some jurisdictions do not allow these limits; in those jurisdictions, our liability is limited to the maximum extent permitted.
12. Indemnification
You agree to indemnify and hold harmless 11978853 CANADA INC., its officers, directors, employees, and agents from any claims, damages, or expenses arising from:
- Your violation of these Terms
- Your violation of Amazon's policies or any applicable law
- Your misuse of the Service
- Disputes between you and any third party (including Amazon) related to your use of the Service
13. Termination
13.1 By You
You may terminate your account at any time from Settings.
13.2 By Us
We may terminate or suspend your account immediately if you breach these Terms, violate Amazon's policies in a way that risks our developer status, fail to pay, or engage in fraud or abuse. We will give notice unless doing so would compromise security or our legal interests.
13.3 Effect
Upon termination, your access ends. Data retention follows the schedule in the Privacy Policy.
14. Modifications
We may modify these Terms with at least 30 days' notice for material changes. Continued use after the effective date constitutes acceptance. If you do not agree, you may terminate before the changes take effect.
15. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario, Canada, excluding its conflict-of-law rules. Any dispute arising from these Terms shall be resolved by binding arbitration administered by a recognized arbitration body in the Province of Ontario, Canada, except that either party may seek injunctive relief in court for IP infringement.
You waive any right to participate in a class action against us.
16. Miscellaneous
- Entire agreement: These Terms, the Privacy Policy, and the Data Protection Policy constitute the entire agreement between you and us regarding the Service.
- Severability: If any provision is unenforceable, the rest remains in effect.
- No waiver: Failure to enforce any provision is not a waiver of our right to do so later.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure: We are not liable for delays or failures due to causes beyond our reasonable control.
